Terms of Service

Please read these terms carefully before using our services

1. Acceptance of Terms

By accessing and using the services provided by Mavina ("Company," "we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Description of Services

Mavina provides AI technology consulting services, including but not limited to:

  • AI-driven event planning and management solutions
  • AI-powered operations optimization consulting
  • Strategic AI implementation and integration services
  • Lead generation and social network integration services
  • Custom AI solution development and deployment

3. Service Agreements

Specific terms for each engagement will be outlined in a separate Service Agreement or Statement of Work (SOW). In case of conflict between these Terms and a Service Agreement, the Service Agreement shall prevail for that specific engagement.

3.1 Lead Generation Services

For lead generation services, pricing is based on qualified leads that respond to campaigns. Lead qualification criteria will be defined in the Service Agreement. Payment is due only for leads that meet the agreed-upon qualification standards.

3.2 Consulting Services

AI consulting services are provided on a project basis with pricing determined by scope, complexity, and timeline as outlined in the Service Agreement.

4. Payment Terms

Payment terms vary by service type:

  • Lead Generation: Payment per qualified lead as specified in pricing ($40-$60 depending on channel and targeting criteria)
  • Consulting Projects: Payment schedule as outlined in the Service Agreement, typically with milestone-based payments
  • Late Payments: Overdue amounts may incur a 1.5% monthly service charge

5. Intellectual Property

All intellectual property rights in our proprietary methodologies, software, and technologies remain with Mavina. Custom solutions developed specifically for your organization will be governed by the terms outlined in the Service Agreement.

5.1 Client Data

You retain ownership of your data. We may use aggregated, anonymized data for improving our services and developing industry insights, provided such use does not identify your organization.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This obligation survives termination of the service relationship.

7. Limitation of Liability

To the maximum extent permitted by law, Mavina's total liability for any claims arising from our services shall not exceed the total amount paid by you for the specific service giving rise to the claim in the twelve months preceding the claim.

8. Performance Guarantees

While we strive to deliver exceptional results, specific performance guarantees will be outlined in individual Service Agreements. Results may vary based on factors including but not limited to market conditions, implementation quality, and organizational readiness.

9. Termination

Either party may terminate services with written notice as specified in the Service Agreement. Upon termination, you remain responsible for payment of all services rendered through the termination date.

10. Data Protection and Privacy

We are committed to protecting your privacy and handling your data responsibly. Please refer to our Privacy Policy for detailed information about our data practices.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

13. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Midland, Texas.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

These Terms of Service constitute the entire agreement between you and Mavina regarding the use of our services, superseding any prior agreements or understandings.
